1. Statutory Requirements
- The Retailer/Institution/Purchaser must ensure that their Drug License, GST/ TIN No., PAN No., and all other statutory registrations are valid and updated as per applicable laws.
- All supporting documents must be produced whenever requested by ShivShivam Pharma Pvt Ltd.
- The Purchaser must timely match their ledgers, verify GST inputs, and respond to relevant correspondence within the specified time.
- The seller shall not be responsible for any statutory non-compliance on the part of the Purchaser. Shape
2. Sales Terms
- Prices and terms mentioned in the invoice are deemed accepted by the buyer.
- The price and terms applicable will be those prevailing on the invoice date.
- Any short receipt, breakage, misprint, or invoice error must be informed immediately upon delivery.
- No claims will be accepted after unreasonable delays.
3. Payment Terms
- For credit sales, payment must be completed within 30 days from the invoice date.
- Interest @ 18% per annum will be charged on delayed payments.
- Payments must be made via Cheque/DD drawn in Favor of SHIV SHIVAM.
- Payments via cheque are subject to realization. Bank charges will be levied for dishonoured cheques.
4. Sales Return
- Goods must be returned within three months before the expiry date.
- For temperature-sensitive products, goods must be maintained and transported under strict Cold Chain conditions.
- Cold chain goods and expired goods are liable to rejection at the seller’s discretion.
- Returns may be subject to deduction of applicable GST/TAX as per prevailing rules.
5. Dispute Resolution
- Any dispute or difference arising between the parties will be resolved under the Arbitration & Conciliation Act, 1996.
- Arbitration shall be conducted through a Sole Arbitrator appointed by the Stockiest.
- The venue and jurisdiction shall be Kolkata, India.
